Establishing supervisory boards for the largest municipal enterprises is a logical step for any city committed to transparency and efficiency. Mykolaiv is one such city.

ME “MykolaivVodokanal”

Mykolaivvodokanal” is one of the largest critical infrastructure enterprises in Mykolaiv, with a history spanning over 115 years. It is owned by the territorial community of the city of Mykolaiv and provides services for cold water supply and wastewater management, including hot water. Thanks to the enterprise, over 482,000 residents of Mykolaiv receive water for their daily needs, with approximately 92,000 m³ of water flowing daily through about 1,200 km of pipes.

In 2023, at the initiative of Oleksandr Sienkevych, the transformation of the enterprise began. The starting point was the Integrity Assessment, which analyzed the processes of strategic and corporate governance, procurement policies, compliance, and ethical standards. Based on its results, a risk mitigation plan has been developed and is being implemented, alongside an updated procurement policy.

One of the key recommendations of the assessment is the establishment of corporate governance following OECD standards to optimize processes and enhance both the efficiency and transparency of the enterprise’s operations.

The transformation of Mykolaivvodokanal is especially important due to the need to address the critical issue of drinking water scarcity in the city, caused by Russia’s destruction of the Dnipro-Mykolaiv pipeline. The President of Ukraine, Volodymyr Zelensky, has instructed the construction of a new water pipeline from the Southern Bug River. The State Agency for the Restoration and Development of Infrastructure of Ukraine plans to complete the construction by August 2025.

Find out about the key steps and dates of the competitive selection process

Application Submission
from January 13 to February 7

Candidates submit the required documents to participate in the competition.

Application Evaluation
from February 7 to November 17

The commission reviews the submitted applications and evaluates candidates' compliance with the criteria, approving the ranking of participants.

Interviews
from February 18 to March 4

The commission conducts interviews with the top 10 ranked candidates based on the evaluation results.

Selection of Winners
from March 5 to March 10

The commission selects the top three winners of the competition. The full composition of the Supervisory Board is then approved by the Mykolaiv City Council deputies during a session.

General qualifications

  • Higher education relevant to the individual profile requirements. Additional advantages include an academic degree and/or special professional qualifications that align with the expectations for the candidate.
  • Ability to read and understand the company’s financial statements.
  • Successful experience in tasks similar to those expected of the candidate.
  • Ability and willingness to express independent professional judgment during supervisory board meetings and its committees, with strong teamwork skills.
  • Impeccable business reputation.
  • Proficiency in English.
  • No conflict of interest with the enterprise.
  • Ability to dedicate at least 50 working days per year to the work of the Supervisory Board.
  • Full civil capacity.
  • Not affiliated with the aggressor state.
  • No unexpired criminal convictions.
  • No criminal liability for corruption offenses or offenses related to corruption based on a final conviction.
  • At least 3 years of managerial experience and/or professional experience in the enterprise’s area of activity.
  • The candidate must not have been a member of the Mykolaiv City Council, advisor to the mayor, local government official, or a member of the executive committee of Mykolaiv City Council, or a state official of the Mykolaiv regional state administration (or Mykolaiv regional military administration), a member of the Ukrainian Parliament, or assistant to a city council or parliament deputy elected in the Mykolaiv region during the last 5 years.
  • The candidate must not have been or currently be the ultimate beneficial owner, founder (member, shareholder), or member of the governing body of legal entities or individual entrepreneurs, or a close relative of the ultimate beneficial owner, founder, or governing body member, who has provided services, works, or supplied goods to the enterprise under commercial agreements in the last 5 years.
  • The candidate must not have been a position-holder at the enterprise or its subsidiary, branch, or representative office during the last 5 years.
  • The candidate must not be a close relative of any position-holder of the enterprise, the city mayor, members of the Mykolaiv City Council, or executive committee, or local government officials of Mykolaiv City Council.
  • The candidate must not have participated in the financial audit of the enterprise in the last 5 years.

Required Competencies and Expertise for Independent Members of the Supervisory Board

Note: The collective profile of the independent members of the supervisory board is provided. Each candidate does not need to meet all the criteria but should fulfill a portion of them. The selection goal is to maximize the collective alignment of the selected candidates with the listed requirements.

  • In-depth knowledge and experience in external and internal auditing.
  • Experience in building teams, creating motivation systems, and managing large-scale businesses in industrial or manufacturing sectors (not necessarily within the company’s area of activity) with a focus on resource savings and improved productivity indicators.
  • Experience in investment business or fundraising for non-profit organizations. Skills in investor and donor relations management.
  • Experience in supporting effective communication between company management and external stakeholders on strategic development and social responsibility matters. Ability to represent the organization at national and international levels.
