Independent members of the supervisory board support strategic development by assisting management in implementing new technologies, improving efficiency, and developing products and services, as well as in staff training. They provide managerial support, evaluate management performance, and participate in strategic planning. Board members oversee fundraising efforts, ensuring transparency in the use of funds for donors and investors. They organize independent audits, ensure internal control, and manage risks. At the same time, they balance the interests of the company and stakeholders, and work on institutional development of the board, including organizing meetings and succession planning.

Members of the supervisory board of a municipal enterprise are not considered PEPs according to the Law "On Preventing and Counteracting the Legalization (Laundering) of Criminal Income, Terrorism Financing, and Financing the Proliferation of Weapons of Mass Destruction" (No. 361-IX, 06.12.2019). This law on financial monitoring categorizes only heads of supervisory boards of state-owned enterprises and companies with a state share of 50%+ as PEPs.

No, this work is compensated. The compensation will be defined at the stage of signing a contract between the board member and the municipal enterprise. The salary ceiling will be determined by the city council’s decision.

No, it is not required. The work format will be hybrid, with the possibility of participating in meetings online. However, it is desirable to occasionally visit the enterprise and meet with the team in person.

The selection of members for the supervisory board consists of four stages: 1) Submission of applications. 2) Ranking of participants. 3) Interviews with selected candidates. 4) Election of winners and their approval by the City Council.
